Terms of Service

These terms govern your organisation’s use of Cohort, provided by ARSHIA Learning. A signed order or pilot agreement may add to or vary these terms; where it does, that agreement prevails.
1. The service
Cohort is a hosted learning management platform. We grant your organisation a non-exclusive, non-transferable right to access and use Cohort for your internal training during your subscription term.
2. Accounts & acceptable use
- You are responsible for your users’ accounts and for keeping credentials secure.
- Do not use Cohort to store unlawful content, attempt to breach its security, probe other tenants’ data, or resell the service without our agreement.
- You must not upload content you do not have the right to use.
3. Your content
You own the training content and data you put into Cohort. You grant us only the limited licence needed to host and deliver it to your users and to operate the service. We do not use your content to train third-party models or for any purpose other than providing Cohort to you.
4. Availability
We work to keep Cohort available and perform maintenance carefully. During launch we provide the service on a best-efforts basis without a contractual uptime guarantee. Any specific service levels will be set out in a separate agreement.
5. Fees
Subscription fees are as agreed in your order or pilot arrangement. Founding customers are invoiced directly. Fees are exclusive of GST unless stated.
6. Data protection
We handle personal information as described in our Privacy Policy and, where applicable, a Data Processing Addendum.
7. Liability
Nothing in these terms limits rights you have under the Australian Consumer Law that cannot be excluded. Subject to that, to the extent permitted by law our aggregate liability arising from the service is limited to the fees paid in the 12 months before the claim, and we are not liable for indirect or consequential loss.
8. Termination
Either party may end a subscription in line with the order terms. On termination we will, on request, make your data available for export and then delete it in accordance with our retention practices.
9. Governing law
These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction.
